Terms of service

1. Who we are and what this covers

Zuhanden LLC, a Texas limited liability company ("Zuhanden", "we", "us"), makes AI-based tools for everyday life and work. These terms apply to our websites, apps, and related services (together, the "services"). By creating an account or using the services, you agree to these terms and to our privacy policy. If you do not agree, do not use the services.

Some apps or features may come with additional terms. Where they conflict with these, the additional terms apply to that app or feature.

2. Who can use the services

You must be at least 13 years old. If you are under 18, you may use the services only with the permission of a parent or guardian who agrees to these terms on your behalf. By using the services, you confirm that you meet these requirements and that you are not barred from using them under any applicable law.

3. Your account

You are responsible for your account and for keeping your sign-in details private. Tell us right away if you think someone else has access to it. We may suspend or close accounts that break these terms.

4. AI output

The services generate text, suggestions, and other output using AI models, including models run by third-party providers. AI output can be wrong, incomplete, or misleading, and it may not be unique to you.

• Check what matters. You are responsible for reviewing output before you rely on it or share it.
• Not professional advice. Output is not legal, medical, financial, tax, or other professional advice. Talk to a qualified person for those questions.
• Judgement stays with you. The services help you do your work. Decisions and their consequences remain yours.

5. Your content

"Your content" means anything you put into the services: text, files, images, prompts, and the like. Output the services create for you from your content is treated as your content too, to the extent we are able to grant that.

• You own it. We claim no ownership of your content.
• We need a limited licence to run the tools. You give us permission to store, process, transmit, and display your content as needed to provide and secure the services and to personalise them for you, as described in the privacy policy.
• Improving our models and agents is your choice. Your content is used to improve the AI models and agents that Zuhanden makes available to all users only if you turn on the "Help improve Zuhanden" setting in the app. If you do, you give us a licence to use your content, in de-identified form, to train, evaluate, and improve those models and agents. You can turn the setting off at any time, and we will stop using new content from you. The privacy policy explains what this involves.
• Third parties do not train on your content. We require the AI providers we use not to train their models on your content, whatever your settings.
• You are responsible for it. Only submit content you have the right to use. Do not upload content that is unlawful, that infringes someone else's rights, or that you do not have permission to share.

6. Acceptable use

Use the services for your own lawful purposes. Do not:

• break the law, or help anyone else to
• harass, threaten, deceive, or harm other people, or generate content designed to do so
• generate or share sexual content involving minors, or content that promotes violence or self-harm
• impersonate any person or organisation, or misrepresent AI output as the work of a specific person
• attempt to access accounts, systems, or data that are not yours, or probe or disrupt the services
• reverse engineer the services, scrape them, or use them to build a competing model or product
• resell or provide the services to others without our written permission
• use the services for automated decisions that have legal or similarly significant effects on people

We may remove content or limit access where we reasonably believe these rules have been broken.

7. Plans, payment, and cancellation

Some services are free. Others require a paid plan. Prices, what is included, and any usage limits are shown before you buy. Paid plans renew automatically at the end of each billing period until you cancel. You can cancel at any time and keep access until the end of the period you have paid for.

If you purchased through an app store, the store's terms govern billing, refunds, and cancellation. Otherwise, refunds are handled under applicable consumer law. We may change prices with reasonable notice; changes apply from your next renewal.

8. Third-party services

The services rely on third parties, including AI model providers, hosting, and payment processors, and may let you connect other accounts or tools. Those third parties have their own terms and privacy practices, which we do not control. We are not responsible for third-party services.

9. Our intellectual property

The services, including their software, design, and branding, belong to Zuhanden or our licensors. We grant you a personal, limited, non-exclusive, non-transferable licence to use the services in line with these terms. Nothing here transfers any of our rights to you.

10. Feedback

If you send us ideas or suggestions, we may use them without any obligation to you. Please do not send feedback you consider confidential.

11. Ending the relationship

You can stop using the services or delete your account at any time from the app or by contacting us. We may suspend or end your access if you break these terms, if we are required to by law, or if we discontinue a service, in which case we will give reasonable notice where we can. Sections that by their nature should survive, including 5, 9, 12, 13, 14, and 15, continue to apply.

12. Disclaimers

The services are provided "as is" and "as available". To the fullest extent permitted by law, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose, non-infringement, or that the services will be accurate, uninterrupted, or error-free. Some jurisdictions do not allow these exclusions, so some may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Zuhanden will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the services or reliance on AI output. Our total liability for any claim relating to the services is limited to the greater of the amount you paid us in the 12 months before the claim and 100 US dollars. Nothing in these terms limits liability that cannot be limited by law.

14. Your responsibility to us

You agree to defend and indemnify Zuhanden against claims, losses, and costs, including reasonable legal fees, that arise from your content or your breach of these terms or the law.

15. Disputes and governing law

If you have a problem, contact us first and we will try to sort it out. These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules, and any dispute that we cannot resolve together will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction. If you are a consumer, you keep any rights under the mandatory consumer laws of where you live.

16. Changes to these terms

We may update these terms from time to time. If a change is material, we will tell you in the app or by email before it takes effect. The date at the top shows when the current version began. Continuing to use the services after a change means you accept it.

17. General

These terms and the privacy policy are the whole agreement between you and Zuhanden about the services. If any part is found unenforceable, the rest still applies. You may not transfer your rights under these terms; we may transfer ours to a successor of our business. Our not enforcing a term is not a waiver of it.
